Sale of a minority stake in Aegea to Itaúsa

July 2021• In April 2021, Itaúsa S.A. (“Itaúsa”) completed the acquisition of an 8,53% stake in Aegea Saneamento e Participações S.A. (“Aegea” or “Company”) for R$1.3 billion
– Acquisition of 10.2% of Aegea’s ordinary shares, including an 8.32% secondary sale from Grupo Equipav and a capital increase of R$274.8 million
– GIC followed the capital increase (R$64.8 million), maintaining 19.08% of the ordinary shares
– After the closing of the transaction, Aegea’s shareholder structure (ordinary shares) was the following: Grupo Equipav (70.72%), GIC (19.08%) and Itaúsa (10.20%)
• In addition to strengthening Aegea's capital structure, the transaction contributes to the continued improvement in governance and compliance and reinforces the Company's commitment to reduce the sanitation deficit in Brazil
